A significant shareholder in a large and highly profitable company found himself in an increasingly deteriorating relationship with his two business partners. The breakdown was rapid and irreversible. Recognizing the inevitable, he agreed to step down from his management position while retaining his shareholding and the contractual right to access company financial reports and continue receiving profit distributions.
Initially, the arrangement functioned smoothly. However, within months, our client noticed troubling patterns: Board meetings seemed superficial, critical decisions were being made without his knowledge, and most concerning – the company’s reported revenues were declining inexplicably.
When he requested to sell his shares based on an independent external valuation, his partners strongly rejected the assessment. The partner described in detail to our agent, how they were manipulating the company’s financial statements, including artificially inflating operational expenses with the active assistance of the company’s accountant, whom they had recruited to support their scheme. For example, he mentioned they were splitting expenses to fictitious suppliers on a monthly basis to create the appearance of eroding profits. In another conversation he mentioned they also inflated expenses paid to a longtime company supplier who had agreed to participate in the scheme.
This type of confessions provided the evidentiary basis for our client’s case.

He was then able to get the right value of his shares, and prevent future manipulations.
